Bylaws of the Stay Focused Photo Club
Article I Name
The Organization shall be known as the Stay Focused Photo Club
Article II Mission
The mission of the Stay Focused Photo Club shall be the enjoyment, mastering, and furtherance of photography through cooperation, effort, education and good fellowship. This mission is enhanced through our relationships with Stockton College and the Edwin B. Forsythe National Wildlife Refuge.
Article III Membership
Any person interested in photography may apply for membership. Application blanks shall be made available at monthly meetings and through information available on the Stay Focused web site.
Conduct or actions, by any member, that are detrimental to the image or reputation of the Stay Focused Photo Club may result in that member being asked to resign his/her membership. The Stay Focused Photo Club does not harass or discriminate against any individual(s) for reasons of race, color, religion, sex, national origin, age, physical or mental disability, sexual orientation, genetic information, status as a parent.
Article IV Officers
The following officers shall be elected by the membership: 1) President, 2) Vice President, 3) Secretary, and 4) Treasurer. The office of President may be held for 2 consecutive years. A previous President may be re-elected to that office after an absence of at least one year. All other officers may be re-elected annually. Election procedures are covered under article XIII.
Article V Meetings
Regular meetings of the club shall have a place, date, and time, stipulated by the Executive Board.
Article VI Executive Board
The management of the club shall be directed by the voting members of the Executive Board composed of the elected officers (article IV), the chairs of standing committees, and the immediate Past President. Other Past Presidents shall be included on the Executive Board as honorary non-voting members. The Sponsor from Stockton College shall serve as an ex-officio non-voting member. The current President may appoint a maximum of two non-voting members at large, for a one year term, with the approval of a majority of the Executive Board. A majority of the voting members of the board shall constitute a quorum.

Article VIII Finance
Annual dues shall be set by the Executive Board.
Article IX Duties of Officers
Duties of the President shall be: To preside at all club meetings and the Executive Board meetings, to appoint chairs of special committees, to act as a club spokesperson, to generally supervise all club activities, and to attend Executive Board meetings.
Duties of the Vice President shall be: to assume the duties of the President in his/her absence, and to attend Executive Board Meetings.
Duties of the Secretary shall be: To keep records of the minutes of all meetings and to make those minutes available to the membership, to notify members of special meetings and events, to conduct correspondence of the club, and to attend Executive Board meetings.
Duties of the Treasurer shall be: To maintain financial records of the club, keeping custody thereof, and attend Executive Board meetings.
Article X Duties of Committees
The responsibilities of club committees shall be determined by the Executive Board. The activities decided upon shall thereafter be carried out by the committee chairs and the members appointed by the chair to the respective committees. Standing committee chairs shall report activities and progress to the Executive Board, or to the membership at club meetings, and attend Executive Board meetings.
Article XI Amendment of Bylaws
These bylaws may be amended by a majority vote of those present at a regular monthly meeting. Proposed amendments must be presented to the membership at least 21 days before a vote is held.
Article XII Quorum
A quorum of the membership for the purpose of conducting club business shall consist of not less than one-third of the entire membership.
Article XIII Elections
Election of club officers shall be held annually in November of each year. The chair of the nominating committee plus at least two non-board members from the membership shall propose a slate of nominees and obtain the agreement from the nominees to serve if elected.
The chair shall present the slate to the membership at the November meeting. Additional nominations can be made from the floor.
Following announcement of nominees, a vote by the members present shall be held.
Vacancies in the club offices shall be filled by Presidential appointment, subject to approval by the Executive Board. Vacancy of the president’s office shall be filled by the advancement of the Vice President as provided in article V of the Constitution.

Article III Membership
Any person interested in photography may become a member of this club as provided for in the by-laws.
Article IV Officers
The Officers of this club shall be President, Vice President, Secretary, and Treasurer. Election of officers shall occur in the 4th quarter of each year as provided in the by-laws.
Article V Vacancies
Section I If the office of president becomes vacant for any reason, it shall be taken over for the remainder of the term by the Vice President.
Section II If any office, other than the President becomes vacant, it shall be filled by appointment by the President for the remainder of the year.
Article VI Meetings
The Stay Focused Photo Club shall hold monthly meetings open to all members and guests.
Article VII Amendments
Amendments to this constitution may be made by a vote of members. Proposed changes shall be communicated to the membership at least 21 days prior to a vote. An affirmative vote by a majority of members present or submitted by a majority of the current valid members is required for passage.
Article VIII By-Laws
By-laws for the transaction of club business may be adopted, revoked, or amended at any time by a majority affirmative vote of the membership. Proposed changes shall be communicated to the membership at least 21 days prior to a vote.
